Please read these Terms carefully. By registering, accessing, or using the Shoppe Club platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member," "User," or "you") and Shoppe Club ("Company," "we," "us," or "our") governing your access to and use of the Shoppe Club platform, website, mobile applications, and related services (collectively, the "Platform").
By clicking "I Agree," registering an account, purchasing a package, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
Shoppe Club is a network marketing platform that allows registered members to participate in a multi-level compensation plan involving binary network income, product packages, and the GEM Coin digital wallet system. The Platform is not a bank, investment scheme, or financial institution.

You must be at least 18 years of age to register and participate on the Platform. By registering, you represent and warrant that you are 18 years of age or older.
To access the Platform, you must create an account and provide accurate, complete, and current information including your legal name, valid contact details, and payment information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
Each individual may only hold one (1) registered account. Creating multiple accounts to exploit the compensation plan is prohibited and may result in immediate termination of all associated accounts and forfeiture of all accumulated earnings.
Registration requires a valid sponsor referral code from an active member. Sponsor relationships are permanent once established and cannot be changed.

Income stream eligibility is contingent upon successful payment verification and package activation by admin. The Company reserves the right to approve or reject any payment submission at its sole discretion.
The binary compensation operates on a left-leg/right-leg matching system. Point Values (PV) are assigned upon package activation and are subject to the PV Flush mechanism once the matched threshold is reached.
All income is subject to lifetime income caps calculated as a percentage of the member's package price. Once the income cap is reached, no further matching bonuses will be processed for that package. Daily caps apply to Leadership, Upline, and Mentorship bonuses as configured by the Company.
Sponsor, Matched, and Leadership bonuses are processed in real-time. Product Pairing and Upline bonuses are released weekly (every Saturday). Mentorship bonuses are released monthly on the 28th. The Company reserves the right to modify bonus release schedules with reasonable notice.
The Company reserves the right to modify the compensation plan, percentages, caps, and terms at any time. Members will be notified of material changes via the Platform or registered contact information.
GEM Coin ("GEM") is an internal digital credit unit used exclusively within the Shoppe Club platform. GEM is not a publicly traded cryptocurrency, is not legal tender, and has no value outside the Platform. GEM Coins are pegged at 1 GEM = 1 Philippine Peso (PHP) for internal accounting purposes only.
Members may use GEM Coins to purchase packages, transfer credits within the Platform (subject to admin approval), and withdraw earnings to supported payment channels. All GEM transactions are final once confirmed by admin.
GEM Coin is not an investment vehicle. The Company makes no representations regarding the future value or redeemability of GEM Coins. The Company may modify, suspend, or discontinue the GEM Coin program at any time.
Package payments must be made via approved payment channels (GCash, Maya, GoTyme Bank, or other channels designated by the Company). All payment proof submissions are subject to admin verification. The Company is not responsible for payments made to unofficial or unauthorized channels.
Package purchases are generally non-refundable once activated. Refund requests for unactivated packages may be considered within 48 hours of payment, subject to admin discretion and a processing fee.
Members are solely responsible for reporting and paying all applicable taxes on earnings received through the Platform in accordance with applicable Philippine law.

Violation of these conduct requirements may result in account suspension, termination, and forfeiture of all accumulated earnings.
All content on the Platform, including but not limited to logos, trademarks, marketing materials, software, text, graphics, and the GEM Coin branding, are the exclusive property of Shoppe Club and are protected by applicable intellectual property laws. Members may not reproduce, distribute, or create derivative works without prior written consent from the Company.
The Company reserves the right to suspend or terminate any member account at its sole discretion, with or without prior notice, for violations of these Terms, suspected fraud, inactivity, legal requirements, or any reason the Company deems appropriate.
Upon termination, the member forfeits all pending bonuses, accumulated GEM Coins that have not been successfully withdrawn, and access to their network downline. Active sponsor relationships will be restructured at Company discretion.
To the maximum extent permitted by applicable law, Shoppe Club shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, or business interruption.
The Company's total aggregate liability to any member shall not exceed the total amount paid by that member for their registered package(s) in the twelve (12) months preceding the claim.
The Platform is provided "as is" without warranties of any kind, either express or implied. The Company does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the appropriate courts in the Philippines.
The Company reserves the right to modify these Terms at any time. Material changes will be communicated via the Platform or registered email at least 7 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
